1. Agreement to Terms
These Terms & Conditions constitute a legally binding agreement between you or the entity you represent ("Client", "Buyer", "You") and XCLOUD NETWORK TECH CO., LTD. (DUNS 673057054, "Company", "We", "Us"). By accessing our website (xcloudnetwork.vip), requesting quotes, or executing procurement purchase orders, you agree to be bound by these terms.
2. Products, Hardware Procurement & Quotations
All hardware quotations provided by XCLOUD (including NVIDIA GB200 NVL72, HGX B200, H200, H100 servers, storage arrays, and network switches) are subject to stock availability and written confirmation. Written quotes are valid for the timeframe specified on the pro forma invoice.
Hardware warranties are provided according to the manufacturer's official warranty policy. XCLOUD assists with warranty RMA, logistics replacement, and certified field engineering support.
3. Professional Engineering & IDC Services
Engineering integration projects (such as turnkey IDC room construction, optical fiber cabling, and Slurm cluster deployment) are performed according to mutually approved Statements of Work (SOW). Delivery milestones and acceptance criteria are documented and signed off upon completion of load and thermal verification.
4. Limitation of Liability
To the maximum extent permitted by applicable law, XCLOUD NETWORK TECH CO., LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption arising from hardware usage or third-party electrical interruptions outside of guaranteed SLA parameters.
5. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any dispute arising out of or in connection with these Terms shall be resolved through friendly negotiation or submitted to the competent commercial courts in Sihanoukville / Phnom Penh, Cambodia.
